Agreement and scope
These terms govern your use of this website and information you submit to Lambda-Phi, located in San Jose, CA. By using the site, you accept these terms. Product-specific terms may apply to a Lambda-Phi product and control if they conflict with these website terms.
Invitations, access, and changes
Requests for invitations, previews, early access, or other opportunities are expressions of interest, not promises of access, availability, pricing, features, or continued service. Lambda-Phi may accept, reject, limit, suspend, change, repackage, price, or discontinue the site, an invitation, a preview, or a product at any time, subject to applicable law and any product-specific terms.
Acceptable use
Use the site only for lawful purposes and provide information you are authorized to provide. Except to the extent a restriction is prohibited by law, do not interfere with or disrupt the site; bypass access, security, rate, or usage controls; probe or test non-public interfaces or security controls without authorization; scrape or extract content or data outside authorized interfaces; reverse engineer or attempt to discover non-public technical methods; impersonate others; introduce malicious code; or use non-public previews, materials, observations, or access to build, train, benchmark, or improve a competing product or service. Lambda-Phi may block, suspend, or remove access when it believes use threatens the site, Lambda-Phi, its products, or others.
Your submissions and feedback
You retain the rights you have in information and materials you submit. You grant Lambda-Phi a non-exclusive, worldwide license, sublicensable to service providers and contractors acting on our behalf, to host, reproduce, process, transmit, display, adapt, format, analyze, disclose, and otherwise use submitted information as reasonably necessary to operate, secure, support, analyze, improve, and develop the site, products, services, and business; evaluate or fulfill your requests; enforce these terms; and comply with law. Our handling of information is described in the Privacy Notice. Feedback, ideas, suggestions, and improvement proposals may be used by Lambda-Phi without restriction, attribution, or compensation.
Ownership and non-public materials
Lambda-Phi and its licensors retain all rights in the Lambda-Phi name, marks, site design, software, documentation, original content, and non-public product materials. Except for the limited right to use the public site under these terms, no license is granted. Access to a preview, demonstration, invitation, or non-public material does not transfer intellectual-property, trade-secret, or other proprietary rights.
Third-party services and links
The site or products may link to, rely on, or interoperate with third-party services. Those services are governed by their own terms, policies, availability, and charges. Lambda-Phi does not control third-party services and, to the extent permitted by law, is not responsible for third-party services, content, accounts, acts, or omissions.
No warranties
The site, its content, previews, and early-access materials are provided “as is” and “as available.” To the fullest extent permitted by law, Lambda-Phi and its affiliates, founders, officers, directors, employees, agents, licensors, contractors, and service providers (the “Lambda-Phi Parties”) disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, noninfringement, availability, security, accuracy, completeness, reliability, and results.
Limits on liability
To the fullest extent permitted by law, the Lambda-Phi Parties will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, opportunity, goodwill, revenue, or business. The aggregate liability of the Lambda-Phi Parties arising from the site or these terms will not exceed the greater of $100 or the amount you paid Lambda-Phi for the applicable site service during the three months before the event giving rise to the claim. Nothing here limits liability that cannot legally be limited.
Your responsibility and indemnity
You are responsible for your use of the site, information you submit, and decisions you make from site content. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Lambda-Phi Parties from third-party claims, liabilities, damages, losses, and expenses arising from your unlawful use, your violation of these terms, your infringement or violation of another person’s rights, or information or materials you submit without authority.
Governing law
California law governs these terms without regard to conflict-of-law rules. Any dispute that cannot be resolved informally must be brought in the state or federal courts serving Santa Clara County, California, and each party consents to that venue and jurisdiction, except where applicable law provides a right that cannot be waived.
Changes and contact
Lambda-Phi may update these terms by posting a revised version with a new date. Continued use after an update means you accept the revised terms. Questions and requests go through the contact form.
